The website located at therewardspass.com and any related pages, services, wallet passes, features, programs, or offers operated in connection with TheRewardsPass are owned and operated by THE AMBASSADOR CLUB INC (“Company,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your access to and use of TheRewardsPass website, digital wallet pass, rewards program, SMS program, offers, content, and related services collectively referred to as the “Site” or “Service.”
By accessing or using the Site, adding a TheRewardsPass wallet pass to your device, participating in any offer, submitting your information, or redeeming or attempting to redeem rewards, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site or Service.
You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The Site and Service are intended for use by individuals located in the United States only, unless otherwise expressly stated by Company.
PLEASE READ THESE TERMS CAREFULLY. THESE TERMS INCLUDE IMPORTANT PROVISIONS REGARDING REWARD ELIGIBILITY, WALLET PASS ACCESS, PARTICIPATION TERMINATION, FORFEITURE OF REWARDS, LIMITATION OF LIABILITY, ARBITRATION, CLASS ACTION WAIVER, AND JURY TRIAL WAIVER.
1. Wallet Pass Enrollment and User Profile
1.1 Wallet Pass Enrollment
To participate in TheRewardsPass, you may be required to add a TheRewardsPass digital wallet pass to your mobile device and provide certain information, such as your name, email address, phone number, device information, payment or redemption details, or other information requested by THE AMBASSADOR CLUB INC or its third-party service providers.
You understand that adding the wallet pass to your device does not create a traditional username-and-password account. However, Company may associate your wallet pass, phone number, email address, device identifier, redemption information, offer activity, and reward progress with a user profile or participation record for purposes of tracking offer completion, displaying reward progress, preventing fraud, administering redemptions, and operating the Service.
You agree that all information you provide is accurate, current, complete, and not misleading. You are responsible for keeping your information current and for ensuring that you have access to the device, phone number, email address, and wallet pass used to participate in TheRewardsPass.
Company may refuse enrollment, suspend access, remove a wallet pass, restrict reward eligibility, or terminate participation at any time if we believe, in our sole discretion, that your participation violates these Terms, applicable law, offer rules, advertiser requirements, fraud prevention standards, or any other program requirements.
1.2 Device and Wallet Pass Responsibility
You are responsible for maintaining access to and control over the device, wallet pass, phone number, email address, payment method, and redemption method associated with your participation in TheRewardsPass.
You agree to notify us immediately at support@therewardspass.com if you believe your wallet pass, device, phone number, email address, payment method, or redemption method has been accessed, transferred, compromised, or used without authorization.
Company is not responsible for any loss, reward reversal, unauthorized redemption, missed notification, tracking issue, or wallet pass activity resulting from your failure to safeguard your device, wallet pass, phone number, email address, payment credentials, or redemption method.
2. Access to the Site and Service
2.1 Limited License
Subject to your compliance with these Terms, Company grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Service for your own personal, non-commercial use.
2.2 Restrictions
You agree not to:
a. copy, sell, rent, lease, license, distribute, or commercially exploit the Site, Service, wallet pass, or any part of it;
b. modify, reverse engineer, disassemble, decompile, or attempt to derive source code from any portion of the Site or Service;
c. access the Site or Service to build a competing service, rewards platform, offer platform, or similar product;
d. use automated scripts, bots, scraping tools, emulator traffic, artificial engagement, or other automated means to access or interact with the Site or Service;
e. interfere with or disrupt the Site, Service, servers, networks, tracking systems, attribution systems, wallet pass updates, or security features;
f. use the Site or Service for fraudulent, deceptive, abusive, unlawful, or unauthorized purposes;
g. misrepresent your identity, location, device, eligibility, or completion of any offer;
h. create, add, use, or attempt to redeem through multiple wallet passes, identities, devices, phone numbers, email addresses, or participation records where not permitted;
i. attempt to bypass wallet pass restrictions, redemption restrictions, participation bans, fraud controls, or eligibility rules.
2.3 Site and Service Changes
Company reserves the right to modify, suspend, discontinue, or restrict access to the Site, Service, wallet pass, rewards program, offers, or any portion thereof at any time, with or without notice.
We are not liable to you or any third party for any modification, suspension, interruption, or discontinuation of the Site or Service.
2.4 Ownership
All content, trademarks, logos, designs, text, graphics, software, user interfaces, wallet pass designs, features, and other materials on or within the Site or Service are owned by Company or its licensors and are protected by applicable intellectual property laws.
Nothing in these Terms transfers any ownership rights to you.
2.5 Feedback
If you submit feedback, ideas, suggestions, or recommendations regarding the Site, Service, wallet pass, offers, or rewards program, you grant Company a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, distribute, commercialize, and otherwise exploit such feedback without compensation or obligation to you.
3. TheRewardsPass Program
3.1 Service Description
TheRewardsPass is a rewards-based platform operated by THE AMBASSADOR CLUB INC that allows eligible users to earn rewards by completing qualifying offers, tasks, promotions, registrations, app installs, subscriptions, purchases, surveys, partner actions, or other advertiser-approved activities.
Rewards may be displayed through a digital wallet pass, web page, SMS message, email, dashboard, or other Service interface. Rewards may be made available in the form of cash, gift cards, digital rewards, payment transfers, or other redemption methods determined by Company.
Participation in TheRewardsPass is subject to these Terms, any offer-specific requirements, advertiser terms, third-party provider terms, and any instructions presented to you during the offer or redemption process.
3.2 Eligibility
To participate in TheRewardsPass, you must:
a. be at least 18 years old;
b. be a legal resident of the United States, unless otherwise approved by Company;
c. maintain a valid wallet pass, user profile, or participation record in good standing;
d. provide accurate contact, identity, tax, payment, redemption, and device information when requested;
e. comply with all offer requirements, advertiser rules, third-party terms, and these Terms;
f. not be prohibited from participating due to prior fraud, participation termination, advertiser rejection, or violation of these Terms.
Company reserves the right to verify eligibility at any time.
3.3 Affiliate Disclosure
TheRewardsPass may receive compensation from advertisers, affiliate networks, app developers, brands, agencies, or other third-party partners when users complete certain qualifying actions.
A portion of that compensation may be shared with eligible users in the form of rewards. The amount we receive may vary by advertiser, campaign, action type, user quality, attribution rules, and partner agreements.
Your rewards are not guaranteed and are subject to completion, tracking, advertiser approval, fraud review, and final validation.
4. Earnings, Rewards, Tracking, and Validation
4.1 Qualifying Offers
Rewards are only available for offers that Company determines are eligible for reward credit.
To receive credit for an offer, you must fully and accurately complete all stated offer requirements. Requirements may include, but are not limited to:
a. installing an app;
b. registering for an account with a third-party advertiser;
c. completing identity or eligibility verification;
d. reaching a specific in-app milestone;
e. making a purchase;
f. completing a trial or subscription requirement;
g. maintaining an account, subscription, deposit, purchase, or activity level for a required period;
h. completing advertiser-defined actions within a required timeframe.
Offer requirements may vary and may change at any time.
4.2 Event Tracking and Postback Timing
Some qualifying events may take up to 24 to 48 hours to appear through your TheRewardsPass wallet pass, user dashboard, SMS message, email, landing page, or other Service interface after completion.
Tracking and reward posting may depend on third-party advertisers, affiliate networks, attribution providers, mobile measurement partners, postback systems, browser settings, device IDs, cookies, click tracking, server-to-server reporting, and other technical systems outside of Company’s direct control.
Company does not guarantee that every click, install, registration, purchase, subscription, deposit, trial, survey, or other action will track successfully. If an event does not track, is delayed, is rejected, or cannot be verified, Company may be unable to credit the reward.
4.3 Pending Rewards
Any pending balance, displayed balance, reward estimate, progress indicator, wallet pass balance, SMS update, email update, dashboard balance, or other reward-related display is provisional and not final.
Pending rewards may be adjusted, delayed, canceled, denied, reversed, or removed at any time if Company, an advertiser, affiliate network, attribution provider, or third-party reward provider determines that the reward is invalid, incomplete, duplicated, fraudulent, incorrectly attributed, or otherwise ineligible.
4.4 Final Validation
Rewards are not earned, payable, or redeemable until they have been finally validated by Company and, where applicable, the relevant advertiser, affiliate network, tracking provider, or redemption provider.
Company reserves the right to determine, in its sole discretion, whether an offer was properly completed and whether a reward is valid.
4.5 Reversals and Adjustments
Rewards may be withheld, adjusted, canceled, or reversed for reasons including, but not limited to:
a. chargebacks, refunds, cancellations, or returned transactions;
b. duplicate wallet passes, identities, devices, phone numbers, email addresses, or participation records;
c. advertiser rejection;
d. failure to meet offer requirements;
e. incomplete registration, purchase, deposit, subscription, survey, or verification;
f. quick cancellation of a trial or subscription;
g. use of VPNs, proxies, emulators, bots, scripts, or suspicious devices;
h. false, incomplete, or misleading information;
i. technical errors, bugs, incorrect reward displays, or attribution issues;
j. fraud, abuse, manipulation, or violation of these Terms;
k. invalid traffic or low-quality activity as determined by Company or its partners.
Company may correct inaccurate balances, wallet pass displays, SMS updates, dashboard balances, or reward displays at any time.
5. Reward Redemption
5.1 Minimum Withdrawal
The minimum withdrawal or redemption amount for TheRewardsPass is $50.00, unless Company states otherwise.
You may not request a payout, withdrawal, or redemption until your validated reward balance reaches the applicable minimum withdrawal threshold.
Company may change the minimum withdrawal amount, redemption methods, payment schedule, processing requirements, or available payout options at any time.
5.2 Redemption Methods
Available redemption methods may include cash transfer, gift card, digital payment, prepaid card, or other methods determined by Company or its third-party redemption partners.
Not all redemption methods may be available to all users.
5.3 Verification Requirements
Before approving a redemption, Company or its third-party providers may require identity verification, payment verification, tax documentation, fraud review, address confirmation, phone verification, device verification, wallet pass verification, or other information reasonably necessary to administer rewards and comply with applicable laws.
Failure to provide requested information may result in delayed, denied, suspended, or canceled redemptions.
5.4 Redemption Timing
Company does not guarantee any specific payout timeline. Redemption processing times may vary based on fraud review, advertiser validation, third-party provider processing, payment method availability, weekends, holidays, banking delays, user verification, and other factors.
5.5 Forfeiture of Rewards
You may forfeit pending or validated rewards if:
a. your wallet pass, user profile, participation record, or participation in the Service is suspended, restricted, or terminated for violating these Terms;
b. Company determines that your activity is fraudulent, abusive, or suspicious;
c. you create, add, use, or attempt to redeem through multiple wallet passes, identities, devices, phone numbers, email addresses, or participation records where not permitted;
d. you fail to complete required verification;
e. you provide false or inaccurate information;
f. an advertiser rejects or reverses the underlying qualifying action;
g. your rewards remain unclaimed or your participation remains inactive for an extended period, subject to applicable law.
6. Anti-Fraud Policy
6.1 Zero Tolerance
TheRewardsPass maintains a zero-tolerance policy for fraud, abuse, manipulation, and invalid activity.
Prohibited activities include, but are not limited to:
a. creating, adding, using, or attempting to redeem through multiple wallet passes, identities, devices, phone numbers, email addresses, payment methods, or participation records where not permitted;
b. using another person’s identity, phone number, email address, payment account, wallet pass, device, or redemption method;
c. using VPNs, proxies, emulators, spoofing tools, device farms, bots, scripts, automation, or artificial traffic;
d. submitting false, misleading, or incomplete information;
e. attempting to claim credit for offers you did not legitimately complete;
f. completing the same offer more than once when not permitted;
g. canceling, refunding, charging back, or reversing required transactions;
h. manipulating attribution, tracking links, postbacks, device IDs, cookies, referral systems, wallet pass data, or reward displays;
i. selling, transferring, assigning, or allowing another person to use your wallet pass, user profile, participation record, or rewards;
j. engaging in conduct that harms Company, advertisers, partners, or other users.
6.2 Investigation Rights
Company may review your wallet pass activity, user profile, participation record, device information, offer activity, redemption history, IP address, phone number, email address, identity details, advertiser feedback, and fraud signals at any time.
During an investigation, Company may delay, suspend, or withhold rewards and redemptions.
6.3 Enforcement
If Company determines, in its sole discretion, that you violated these Terms or engaged in suspicious, fraudulent, abusive, or invalid activity, Company may:
a. suspend or terminate your participation;
b. disable, restrict, remove, or prevent updates to your wallet pass;
c. withhold, cancel, reverse, or forfeit rewards;
d. deny current or future redemptions;
e. ban you from TheRewardsPass or related programs;
f. report activity to advertisers, networks, service providers, or law enforcement where appropriate;
g. pursue legal remedies.
7. Subscriptions, Trials, and Cancellations
Some offers may involve free trials, paid subscriptions, recurring billing, purchases, deposits, or other commitments with third-party advertisers.
You are solely responsible for reading and understanding the advertiser’s terms, billing rules, cancellation policies, trial requirements, refund policies, and eligibility requirements before participating.
For offers involving subscriptions or trials:
a. canceling before the required period may make you ineligible for rewards;
b. some offers may require a successful billing event to qualify;
c. quick cancellations may result in reward denial or reversal;
d. Company is not responsible for charges, renewals, subscription fees, overdraft fees, deposit requirements, or other costs incurred through third-party advertisers;
e. cancellation must be handled directly with the applicable advertiser or service provider.
Company does not control third-party billing practices and cannot cancel subscriptions on your behalf unless expressly stated.
8. Taxes
You are solely responsible for any federal, state, local, or other taxes associated with rewards you receive through TheRewardsPass.
Company or its third-party providers may request tax information or issue tax forms where required by law.
Failure to provide required tax information may result in delayed, denied, or canceled redemptions.
9. SMS Messaging Terms
9.1 SMS Program
By providing your phone number and opting in to receive text messages from TheRewardsPass, you agree to receive SMS or MMS messages from Company regarding your wallet pass, participation record, reward opportunities, progress updates, reminders, promotions, redemption status, and other service-related or marketing messages.
9.2 Consent
By opting in, you provide express written consent to receive automated and non-automated text messages from or on behalf of Company at the phone number you provide.
Consent to receive marketing messages is not required as a condition of purchasing any goods or services.
9.3 Message Frequency and Charges
Message frequency may vary based on your activity, participation status, available offers, and interactions with TheRewardsPass.
Message and data rates may apply. You are responsible for any charges imposed by your wireless carrier.
9.4 Opt-Out
You may opt out of SMS messages at any time by replying STOP to any message you receive from us.
After opting out, you may receive one final confirmation message. If you participate in multiple messaging programs, you may need to opt out of each separately.

9.5 Help

9.6 Supported Carriers
SMS delivery is dependent on your wireless carrier and network availability. Company does not guarantee that all messages will be delivered.
9.7 Third-Party SMS Restriction
TheRewardsPass does not share phone numbers collected for SMS consent with third parties for their own independent SMS marketing purposes.
10. Third-Party Links, Offers, and Advertisers
The Site or Service may contain links to third-party websites, apps, advertisers, offers, payment providers, reward providers, affiliate networks, and other third-party services.
Company does not control and is not responsible for third-party websites, apps, offers, terms, privacy policies, billing practices, customer support, content, products, services, or claims.
When you interact with a third-party offer, you are subject to that third party’s terms and privacy policy.
You acknowledge that Company is not responsible for:
a. advertiser decisions;
b. rejected conversions or reward reversals;
c. tracking failures;
d. third-party billing;
e. third-party account issues;
f. offer changes or removals;
g. third-party customer service;
h. any loss or damage resulting from your interaction with third-party services.
You should review all third-party terms before participating in any offer.
11. Privacy
Your use of the Site and Service is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information.

12. Disclaimers
THE SITE, SERVICE, OFFERS, WALLET PASS, REWARDS PROGRAM, CONTENT, AND RELATED FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.
COMPANY DOES NOT WARRANT THAT:
a. THE SITE OR SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ALL TIMES;
b. THE WALLET PASS WILL ALWAYS UPDATE, DISPLAY ACCURATELY, OR REMAIN AVAILABLE ON YOUR DEVICE;
c. ANY OFFER WILL REMAIN AVAILABLE;
d. ANY REWARD WILL BE EARNED, VALIDATED, OR PAID;
e. TRACKING OR POSTBACKS WILL ALWAYS FUNCTION PROPERLY;
f. THIRD-PARTY ADVERTISERS WILL APPROVE ANY ACTION;
g. DISPLAYED BALANCES, WALLET PASS BALANCES, OR REWARD ESTIMATES WILL ALWAYS BE ACCURATE;
h. THE SITE OR SERVICE WILL BE FREE OF VIRUSES, BUGS, OR HARMFUL COMPONENTS.
Your use of the Site and Service is at your own risk.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE AMBASSADOR CLUB INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SERVICE PROVIDERS, ADVERTISERS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST REWARDS, LOST BUSINESS OPPORTUNITIES, DEVICE DAMAGE, WALLET PASS ISSUES, OR COSTS OF SUBSTITUTE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, THE SERVICE, OFFERS, REWARDS, WALLET PASS, REDEMPTIONS, OR YOUR PARTICIPATION SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50.00).
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless THE AMBASSADOR CLUB INC, its officers, directors, employees, contractors, affiliates, agents, service providers, advertisers, and partners from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
a. your use of the Site or Service;
b. your participation in TheRewardsPass;
c. your wallet pass activity;
d. your violation of these Terms;
e. your violation of any law or regulation;
f. your participation in any third-party offer;
g. your fraud, abuse, misrepresentation, or misconduct;
h. your violation of any third-party rights.
Company reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with Company’s defense.
15. Suspension and Termination of Participation
Company may suspend, restrict, or terminate your access to the Site, Service, wallet pass, rewards program, redemptions, SMS communications, or participation in TheRewardsPass at any time, with or without notice, for any reason, including if Company believes you violated these Terms or engaged in suspicious, fraudulent, abusive, or invalid activity.
Upon suspension or termination:
a. your right to participate in TheRewardsPass ends immediately;
b. your wallet pass may be disabled, removed, restricted, or prevented from updating;
c. pending rewards may be canceled or forfeited;
d. redemptions may be denied;
e. you may be prohibited from re-enrolling or adding another wallet pass;
f. provisions of these Terms that should reasonably survive termination will remain in effect.
Company is not liable for any suspension, termination, wallet pass restriction, reward forfeiture, or redemption denial made in accordance with these Terms.
16. Changes to These Terms
Company may update or modify these Terms at any time.
If we make material changes, we may notify you by posting an updated version on the Site, sending an email, displaying a notice, sending an SMS notice, updating the wallet pass, or using another reasonable method.
Your continued use of the Site or Service after updated Terms are posted or otherwise made available constitutes your acceptance of the revised Terms.
You are responsible for reviewing these Terms periodically.
17. Dispute Resolution
17.1 Informal Resolution
Before initiating arbitration or legal action, you agree to first contact Company and attempt to resolve the dispute informally.

Your notice should include your name, email address, phone number, mailing address, a description of the dispute, and the relief you are seeking.
The parties agree to attempt in good faith to resolve the dispute informally before proceeding to arbitration.
17.2 Arbitration Agreement
To the maximum extent permitted by law, you and Company agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Service, your wallet pass, your participation, offers, rewards, redemptions, SMS messages, or your relationship with Company shall be resolved through binding arbitration rather than in court.
This arbitration agreement applies to claims whether based in contract, tort, statute, fraud, misrepresentation, consumer protection law, or any other legal theory.
17.3 Exceptions
Either party may bring an individual claim in small claims court if the claim qualifies.
Either party may also seek injunctive or equitable relief in court to protect intellectual property, confidential information, security, or unauthorized use of the Site or Service.
17.4 Class Action Waiver
YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS.
YOU MAY NOT BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR CONSOLIDATED PROCEEDING.
The arbitrator may not consolidate claims or preside over any class, collective, or representative proceeding.
17.5 Jury Trial Waiver
YOU AND COMPANY WAIVE ANY RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
17.6 Arbitration Procedures
Arbitration shall be administered by JAMS or another mutually agreed arbitration provider.
The arbitration shall be conducted in English and may be conducted by phone, video conference, written submissions, or in person, as determined by the arbitrator and applicable rules.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
17.7 Opt-Out
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing:
Your opt-out notice must include your full name, email address, phone number, mailing address, and a clear statement that you wish to opt out of the arbitration agreement.
Opting out of arbitration does not affect any other part of these Terms.
18. Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles, except where federal law applies.
Subject to the arbitration agreement above, any permitted court proceeding shall be brought in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.
19. Electronic Communications
By using the Site, adding a wallet pass, submitting your information, opting into communications, or participating in TheRewardsPass, you consent to receive communications from Company electronically, including by email, SMS, website notices, wallet pass updates, push-style wallet notifications, and other service notifications.
You agree that electronic communications satisfy any legal requirement that such communications be in writing.
20. Miscellaneous
20.1 Entire Agreement
These Terms, together with any applicable privacy policy, offer rules, program rules, and additional terms presented to you, constitute the entire agreement between you and Company regarding the Site and Service.
20.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
20.3 No Waiver
Company’s failure to enforce any provision of these Terms shall not be considered a waiver of that provision.
20.4 Assignment

Company is not responsible for delays, failures, or interruptions caused by events beyond its reasonable control, including technical failures, network outages, payment processor issues, advertiser delays, tracking system errors, wallet pass platform issues, acts of God, labor disputes, government actions, cyberattacks, or third-party service interruptions.
